SignalShield Partner Program Terms of Use

These Terms of Use ("Agreement") govern participation in the SignalShield Partner Program ("Program"), operated by District Tech Group Incorporated ("Company", "we", "us", or "our"), and apply to all individuals and entities ("Partner", "you", or "your") enrolled in the Program.
By enrolling in the Program, you agree to be bound by the terms set forth in this Agreement.
1. Program Participation
1.1 Eligibility
You must be at least 18 years of age and legally permitted to enter into this Agreement. The Company reserves the right to accept or reject any applicant at its sole discretion.
1.2 Enrollment
Upon acceptance, you will be issued a unique referral code and/or tracking link to promote SignalShield services.
1.3 Conduct
You agree to conduct all promotional activities in a professional, ethical, and lawful manner. Misrepresentation of the Company or services is strictly prohibited.
2. Compensation Structure
2.1 Commission and Discount Flexibility
The Company allows a total of up to twenty percent (20%) of each subscription sale to be used for:
- A recurring commission for the Partner ("Commission"); and/or
- A recurring discount to the referred customer ("Customer Discount").
Partners may elect to allocate this 20% allowance in any manner, subject to the following:
- Commission and Customer Discount must total no more than 20%.
- Commission may range from 0% to 20%.
- Customer Discount may range from 0% to 20%.
2.2 Payout Terms
Commissions will be paid monthly via the Partner's selected payout method following a fourteen (14) day holding period to allow for refunds, chargebacks, or subscription cancellations. Partners must maintain an active account to be eligible for commission payments.
2.3 Minimum Payout Threshold
Commissions will be disbursed once the Partner's total unpaid commission balance exceeds fifty dollars ($50 USD).
2.4 Taxes
Partners are solely responsible for any and all applicable taxes, withholdings, and reporting obligations under local law.
3. Prohibited Activities
3.1 Self-Referrals
Use of your own referral code to purchase SignalShield subscriptions for yourself or your own business entities is prohibited.
3.2 Coupon Site Posting
Referral codes may not be posted on public coupon sites, forums, or discount aggregators unless first authorized by the Company.
3.3 False or Misleading Advertising
The Partner agrees that they will not make exaggerated or misleading claims about SignalShield services or pricing.
3.4 Incentivized Signups
Offering incentives in exchange for code use (cash, gifts, sweepstakes) is prohibited unless pre-approved in writing by the Company.
3.5 Fraudulent Behavior
Fraudulent activity including, but not limited to, fake signups, bot traffic, or abuse of the referral structure, will result in immediate termination and forfeiture of unpaid commissions.
3.6 Resale of Services
SignalShield services may not be resold, bundled, or sublicensed without prior written approval by the Company.
4. Brand Usage and Marketing
4.1 License to Use Marks
Partners are granted a limited, non-exclusive, revocable license to use the SignalShield name, logo, and approved marketing materials solely for the purpose of promoting SignalShield under the Program.
4.2 Approval of Custom Materials
All custom marketing materials (videos, social posts, printed materials) must be approved by the Company before use.
4.3 Brand Integrity
Any alteration of SignalShield brand assets is prohibited. Partner use of brand assets must adhere to official style guidelines issued by the Company.
5. Term and Termination
5.1 Term
This Agreement shall remain in effect until terminated by either party in writing.
5.2 Termination by Company
We may terminate this Agreement at any time, with or without cause, by providing written notice. Grounds for immediate termination include, but are not limited to, violation of these terms or fraud.
5.3 Termination by Partner
Partner may terminate your participation at any time by submitting written notice.
5.4 Effect of Termination
Upon termination, Partner must discontinue all use of SignalShield branding and cease promotional activities. Any unpaid commissions earned prior to termination will be paid in accordance with these terms unless forfeited due to breach.
6. Limitation of Liability
Under no circumstances shall the Company be liable for indirect, incidental, consequential, special, or exemplary damages, including lost profits, arising from or related to participation in the Program.
7. Indemnification
Partner agrees to indemnify and hold harmless the Company, its affiliates, officers, employees, and agents from any claims, damages, liabilities, losses, or expenses (including attorney's fees) arising from Partner's conduct under this Agreement.
8. Independent Contractor Status
Partner is an independent contractor. This Agreement does not create an employment, joint venture, franchise, or agency relationship of any kind.
9. Modifications
We reserve the right to modify this Agreement at any time. Continued participation following notice of such modifications constitutes acceptance.
10. Governing Law
This Agreement shall be governed by the laws of the State of Maryland, without regard to conflict of law principles.
11. Arbitration Provision
Any dispute, controversy, or claim arising out of or relating to this Agreement, including any question regarding its existence, interpretation, validity, breach, or termination, shall be referred to and finally resolved by arbitration under the American Arbitration Association (AAA) Arbitration Rules. The seat of the arbitration shall be Maryland.
Before pursuing arbitration, the parties agree to attempt to resolve the dispute through mediation within sixty (60) days of the dispute arising.
12. Anti-Disparagement
Upon termination of this Agreement for any reason, both parties agree not to make disparaging or disrespectful comments about each other orally or in writing or through any other medium to any individual or entity, professional or trade association, regulator, competitor or media.
13. Compliance With Export Restrictions
Partner represents and warrants that they are not located in, under the control of, or a resident of any country prohibited under applicable U.S. export control laws or trade sanctions. The Company reserves the right to deny Program participation in such jurisdictions.

14. Entire Agreement
This Agreement represents the entire Agreement between the parties with respect to the Program and supersedes all prior understandings or agreements.
By enrolling in the SignalShield Partner Program, you acknowledge and agree to these Terms of Use.
Definitions
- "Program" refers to the SignalShield Partner Program.
- "Commission" refers to recurring payments made to the Partner for valid referred sales.
- "Customer Discount" refers to the recurring discount applied to the referred customer's subscription.
- "Partner" refers to any individual or entity enrolled and approved to participate in the Program.
